Terms and Conditions for Manufacturing Gold Mining Equipment

1. Introduction

Welcome to Start Your Own Gold Mine. These Terms and Conditions outline the rules and regulations for the manufacturing of gold mining equipment by Start Your Own Gold Mine and its associated companies in Uganda, including Mercury-Free Gold Recovery, Goldivanti Gold Limited, and Goldivanti Cocoffee Limited. By engaging our services, you agree to these Terms and Conditions.

2. Equipment Specifications and Manufacturing Process

2.1 Equipment Composition: Our gold mining equipment is primarily made of metal, galvanized or stainless steel, and HDPE, incorporating various types of matting, motors, engines, and water pumps.

2.2 Contractual Timelines: Due to potential delays in the manufacturing process, including power and water outages, accidents, rainy seasons, traffic congestion, and political events, clients should allow for a timeline that is longer than initially estimated.

2.3 Full Payment Requirement: All items listed on the invoice must be paid in full prior to manufacturing and delivery. Equipment will not be delivered unless the client or their representative confirms that it has been delivered in a functional condition. If any invoice has been partially paid, the outstanding balance must be settled before the final manufacturing and delivery of the equipment.

3. Additional Parts and Responsibilities

3.1 Unspecified Parts: Clients may be required to purchase certain unspecified parts necessary for the operation of the gold mining equipment that are not included in our package. We will advise clients on what these parts might be. This should not be viewed as an obligation, but rather as a valued benefit for each of our clients. We are driven by the goal of mutual success. We will ensure that clients fully understand how to operate any equipment produced by us before it is provided to them. This requirement must be included in the written contract.

3.2 Skilled Technicians: We offer training and support through skilled technicians. The client is responsible for covering their transport, visa and legal costs, accommodation, food, medical expenses, and salaries as agreed upon prior to the technician’s departure. This service is a privileged benefit and not an obligation. Clients are required to uphold good behavior and respect the culture of the country, avoid pollutants such as mercury or cyanide, and be open to learning advanced gold recovery methods. Compliance with these conditions is necessary for the deployment of skilled technicians.

4. Equipment Usage and Compliance

4.1 Mercury-Free Policy: We promote mercury-free gold recovery methods. Equipment will not be manufactured for clients utilizing mercury or cyanide. Any violation of this provision leads to an immediate cancellation of the agreement and a damage fee of USD 10,000 payable to Start Your Own Gold Mine. This condition applies if we find that clients are using mercury in their production after signing the agreement with us.

4.2 Manufacturing Inspection: Clients or their representatives may inspect materials and progress at any time. Such inspections must be conducted in writing, with at least two witnesses present from our side.

5. Warranty and Repairs

5.1 Warranty Terms: Consultative support for equipment repair will be provided in remote locations. Any parts returned for repair must be sent back to the manufacturing facility at the client’s expense, and any repaired parts will be shipped to the client at their cost.

6. Storage, Security, and Liability

6.1 Manufacturing Continuity: Once manufacturing begins, the client cannot interrupt the process without incurring a penalty fee of USD 10,000, along with a monthly storage fee of USD 300 for any delays. If the client decides to withdraw during manufacturing, it will be deemed a material breach of the agreement.

6.2 Security Arrangements: Clients are accountable for the security of their equipment while on our premises. If needed, a security guard can be hired at the client’s expense, but this must be included in the written contract. If this clause is not present, the Terms and Conditions for Manufacturing Gold Mining Equipment by Start Your Own Gold Mine will apply. Clients are free to hire insurance or request that we arrange theft insurance for their assets within our compound. We do not automatically assure or guarantee against theft for each individual client.

6.3 Equipment Theft Policy: Any unauthorized removal of equipment or deceptive takeover from our premises by the client will be treated as a serious criminal matter and reported to the authorities. Unannounced and unapproved entry into the workshops of the manufacturer or into his compound, as well as third-party workshops hired by the client, is considered trespassing. Bringing a number of unknown people to visit the premises is not welcome.

7. Payment and Costs

7.1 Transport Fees: All transport and customs expenses are the responsibility of the client and are not included in the manufacturing fees. We will assist in resolving any transportation and customs issues in person, with the understanding that it is the client’s responsibility.

7.2 Service Fees: If the client opts for our services where we do not procure materials, a compound usage fee of UGS 1,000,000 and a bi-weekly operational allowance of USD 200 is applicable. All staff salaries in this scenario must be paid by the client, as per our agreement with them.

8. Branding of machine

Each machine purchased by is branded with one or more slogans promoting gold mining activities and our business and encourages gold mining activity. This branding will remain on the machines throughout their use, and the buyer agrees to not remove the branded plates:

Each machine will be branded with a durable plate that is affixed to the machine. The plates will remain on the machines during the entire period of use. The Buyer agrees not to remove or alter the branded plates on any machine purchased by the Buyer, or risk paying US $10,000 in damages. Any following buyer of the machines purchased by Start Your Own Gold Mine has the same rights to receive our support and also obligations to keep our branded information on such machine.

9. Modifications and Force Majeure Terms

9.1 Modifications to Terms: We reserve the right to modify these Terms and Conditions at any time. Any changes will be communicated to clients and will be effective immediately upon notification.

9.2 Force Majeure: Neither party shall be liable for any failure to perform its obligations under these Terms and Conditions, including but not limited to the manufacturing and delivery of products, if such failure results from events beyond the reasonable control of the affected party (“Force Majeure Events”). Force Majeure Events shall include, but are not limited to:

In the event of a Force Majeure Event, the affected party shall promptly notify the other party of the occurrence, and both parties shall make reasonable efforts to mitigate the effects of the event. Performance obligations shall be suspended during the period of disruption, and the time for performance shall be extended by a period equal to the duration of the Force Majeure Event.

10. Governing Law

10. Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of Uganda or any other country where machine is delivered to the buyer.

11. Acceptance of Terms

11. Acceptance of Terms: By placing an order for manufacturing gold mining equipment with Start Your Own Gold Mine, you acknowledge that you have read, understood, and agreed to these Terms and Conditions in their entirety.
