Start Your Own Gold Mine (SYOGM)
1. Nature of Estimates (NON-BINDING)
Any delivery date, production capacity, or completion time provided by SYOGM — whether written, verbal, or digital — constitutes a good-faith estimate only, not a binding promise or guarantee.
SYOGM shall use commercially reasonable efforts to meet such estimates. However:
- Estimates are expressly non-binding
- Customer may not rely upon any estimate as a firm commitment
- SYOGM disclaims all liability, whether in contract, tort, or otherwise, for failure to meet any estimate
- Customer assumes full responsibility for any decisions made based on estimates, including but not limited to travel bookings, accommodation, shipping arrangements, or third-party contracts
SYOGM does not provide binding dates with respect to the MANUFACTURING of equipment. Any date or timeline provided is a non-binding estimate only. Customer may not rely on any estimate as a firm commitment, and SYOGM shall not be held responsible for any delays or decisions made by Customer based on such estimates. SYOGM’s sole responsibility is the MANUFACTURING of equipment.
Notwithstanding the non-binding nature of these estimates, SYOGM commits to using reasonable commercial effort with full help and assistance — a level of dedication otherwise not given or easily found with other companies.
2. No Reliance; Customer’s Right to Monitor
Customer acknowledges that estimates are aspirational only. Customer is free to send its own agents or representatives to SYOGM’s facilities in Kampala, Uganda, to observe progress and verify operations.
Such monitoring shall be at Customer’s sole cost and risk. SYOGM shall provide reasonable access during normal working hours. The presence of Customer’s agents does not convert any estimate into a binding obligation.
Customer agrees that no claim for “reliance damages” (including lost profits, travel expenses, hotel costs, flight change fees, or lost professional income) shall be brought against SYOGM.
3. Commercially Reasonable Efforts Standard
SYOGM shall deploy its full attention, best efforts, and available resources toward fulfilling Customer’s order. This includes:
- Managing personnel to the best of our ability
- Sourcing materials locally where possible
- Ordering international parts when necessary
- Protecting assets against theft, damage, or loss
However, “commercially reasonable efforts” does not require SYOGM to:
- Incur extraordinary expenses
- Guarantee results despite third-party delays (suppliers, customs, transporters)
- Overcome force majeure events (see Section 7)
- Meet any particular timeline or estimate
4. Acknowledgment of Local Operating Conditions (Kampala, Uganda)
Customer acknowledges and accepts that SYOGM operates in Kampala, Uganda, where the following conditions are known and foreseeable risks:

| Security requirements | Need for guards, dogs, asset protection (customer’s expense) |
| Rainy seasons | Transport and material delays |
| Traffic congestion | Personnel and delivery delays |
Customer agrees that none of the above conditions entitle Customer to damages, refunds, or penalties, provided SYOGM continues to use commercially reasonable efforts.
5. Manufacturing Continuity & Customer Delays
5.1 No Interruption: Once manufacturing begins, Customer cannot interrupt the process without incurring a damage fee representing actual costs incurred by SYOGM (including但不限于 labour reallocation, material restocking, and project disruption), which the parties agree is reasonably estimated at USD 5,000, along with a monthly storage fee of USD 300 for each 20 m² occupied for any delays caused by Customer.
5.2 Customer Withdrawal: If Customer decides to withdraw during manufacturing, it will be deemed a material breach of the agreement. Customer remains liable for all work completed and materials procured up to the date of withdrawal, plus 15% of the value of uncompleted work as compensation for SYOGM’s lost opportunity and reorganisation costs.
5.3 Abandoned Equipment: If Customer leaves equipment pending on SYOGM’s compound for more than 90 days without written progress, SYOGM may charge a monthly storage fee of USD 300 for each 20 m² occupied. After 12 months of abandonment, SYOGM shall give 30 days' written notice to Customer. If Customer fails to respond or collect the equipment within that period, SYOGM may dispose of the equipment to recover outstanding storage and security costs, with any surplus returned to Customer.
6. Storage, Security, and Liability
6.1 Customer Responsibility: Customer is accountable for the security of their equipment while on SYOGM’s premises.
6.2 Security Arrangements: If security is required (guards, dogs, etc.), such costs shall be borne by Customer. SYOGM may arrange security on Customer’s behalf at Customer’s expense.
6.3 No Theft Guarantee: SYOGM does not automatically assure or guarantee against theft for any individual client. Customer is free to arrange their own theft insurance.
6.4 Equipment Theft Policy: Any unauthorized removal of equipment or deceptive takeover from SYOGM’s premises will be treated as a serious criminal matter and reported to Ugandan authorities.
6.5 Trespassing: Unannounced and unapproved entry into SYOGM’s workshops or compound, as well as third-party workshops hired by Customer, is considered trespassing. Bringing unknown people to visit the premises without prior written approval is not welcome.
7. Force Majeure
SYOGM shall not be liable for any delay or failure caused by circumstances beyond its reasonable control, including but not limited to:
- Acts of God, weather, floods, earthquakes, excessive rain
- War, civil unrest, riots, insurrection
- Government actions, permits, customs delays
- Labor strikes or shortages
- Supplier failures
- Epidemics or pandemics
- Fuel or material shortages
- Power outages or failures
- Accidents
- Medical conditions affecting key personnel
- Theft or robbery
In the event of a Force Majeure event, performance obligations shall be suspended, and the time for performance shall be extended by a period equal to the duration of the event.
8. Payment Terms
8.1 Full Payment Requirement: All items listed on the invoice must be paid in full prior to final manufacturing and delivery.
8.2 Progress Payments: Customer shall make progress payments as invoiced. SYOGM’s obligation to continue work is conditioned upon receipt of such payments.
8.3 Estimates Non-Binding: Estimates of total cost are non-binding; final cost shall reflect actual labor, materials, and shipping incurred.
8.4 Outstanding Balance: If any invoice has been partially paid, the outstanding balance must be settled before final manufacturing and delivery.
9. No Penalties for Delay
Customer agrees that no liquidated damages, late fees, penalty clauses, or performance bonds shall apply to SYOGM’s delivery schedule.
The sole remedy for any delay is:
- Customer’s right to monitor progress (Section 2)
- Customer’s right to cancel unperformed work upon written notice, subject to payment for all work and materials already expended by SYOGM (as provided in Section 5.2)
10. Warranty and Repairs
10.1 Warranty Terms: Consultative support for equipment repair will be provided in remote locations.
10.2 Repair Logistics: Any parts returned for repair must be sent back to SYOGM’s manufacturing facility at Customer’s expense. Repaired parts will be shipped to Customer at Customer’s cost.
11. Skilled Technicians & Training
11.1 Training Services: SYOGM offers training and support through skilled technicians at Customer’s request.
11.2 Customer Responsibility: Customer is responsible for covering technician’s transport, visa and legal costs, accommodation, food, medical expenses, and salaries as agreed prior to departure.
11.3 Privileged Benefit: This service is a privileged benefit, not an obligation of SYOGM.
11.4 Duration of Stay: The duration of any technician’s stay and Customer’s stay shall be as explicitly agreed in writing. SYOGM’s relationship is solely with Customer, not with any third-party investors or partners Customer may bring.
12. Mercury-Free Policy
SYOGM promotes mercury-free gold recovery methods. Equipment will not be manufactured for clients utilizing mercury or cyanide. Any violation of this provision leads to immediate cancellation of the agreement and a damage fee representing SYOGM’s actual losses (remediation, reputational harm, equipment reconfiguration), reasonably estimated at USD 5,000, payable to SYOGM.
13. Branding of Equipment
Each machine purchased is branded with durable plates including but not limited to:
- “Start Your Own Gold Mine”
- Any other slogan, quote, or motto at SYOGM’s choice
The Buyer agrees not to remove or alter the branded plates. Any unauthorized removal or alteration shall result in a damage fee representing SYOGM’s loss of marketing and brand value, reasonably estimated at USD 5,000, payable to SYOGM.
14. Governing Law & Dispute Resolution
14.1 Governing Law: These Terms shall be governed by the laws of Uganda.
14.2 Dispute Resolution: Any dispute shall be resolved through good-faith negotiation first. If negotiation fails within 30 days, either party may refer the dispute to binding arbitration in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act (Cap. 4). For claims under USD 10,000, either party may elect to bring the dispute to the Small Claims Court of Uganda instead of arbitration.
15. Acceptance of Terms
By placing an order for manufacturing gold mining equipment with Start Your Own Gold Mine, Customer acknowledges that they have read, understood, and agreed to these Terms and Conditions in their entirety.
16. Written Confirmation Required (No Oral Modifications)
16.1 No Reliance on Oral Statements: No estimate, timeline, promise, or representation made verbally, by telephone, by SMS, by WhatsApp, by Telegram, or by any other electronic messaging platform shall be binding on SYOGM.
16.2 Written Confirmation Only: A binding obligation — including but not limited to a delivery date, completion timeline, or price guarantee — exists only if (a) it is expressly stated in a written document signed by both parties, OR (b) it is confirmed in writing by SYOGM’s authorized representative with the express words “THIS IS A BINDING COMMITMENT.”
16.3 Customer’s Duty to Seek Confirmation: If Customer wishes to rely on any statement made by SYOGM, Customer must request written confirmation under this section. Failure to do so bars any claim of reliance.
16.4 Entire Agreement: This agreement, together with any written amendments signed by both parties, constitutes the entire agreement between Customer and SYOGM. It supersedes all prior discussions, estimates, and representations.
SYOGM’s Commitment
Notwithstanding the disclaimers above, SYOGM affirms its operating principle since 2002:
“If we can help you, we do — whenever and wherever necessary. That is the only way we know.”
These Terms are not intended to diminish SYOGM’s dedication. Rather, they ensure that dedication is understood as effort, not guarantee — a distinction essential to operating honestly in Uganda’s real-world manufacturing environment.
